Key Commercial Principles

DKS Global Corporation engages with clients through clear Statements of Work (SOW), milestone verification, and transparent intellectual property transfers. Upon settlement of contract fees, clients receive full ownership of bespoke software code and project assets, backed by confidentiality guarantees and ISO-standard delivery practices.

01

Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an enterprise entity, "Client" or "User") and DKS Global Corporation ("DKS Global", "Company", "we", "us", or "our").

By visiting our website (dksglobal.com), engaging our consultation services, or executing a proposal or Statement of Work, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our companion Privacy Policy. If you do not agree, you must immediately refrain from utilizing our platforms and services.

02

Services & Statements of Work

DKS Global Corporation provides specialized, enterprise-grade capabilities across five core operational divisions:

Software Development

Custom enterprise software engineering, SaaS platforms, backend architecture, APIs, and cloud-native solutions.

Application Development

Native iOS, Android, and cross-platform mobile apps, progressive web applications (PWAs), and UI/UX modernization.

IT Consulting

Technology strategy, cloud transformation, enterprise infrastructure, DevSecOps, and cybersecurity audits.

Resource Consulting

Technical staff augmentation, dedicated engineering pods, offshore delivery centers, and specialized workforce scaling.

Investment Consulting

Strategic capital structuring, deal advisory, technology valuation, enterprise growth advisory, and risk assessment.

Each specific client engagement is formalized via a distinct Statement of Work (SOW) or Service Agreement delineating project deliverables, sprint schedules, milestones, acceptance criteria, and fee structures. In the event of a conflict between these general Terms and an executed SOW, the terms of the signed SOW shall take precedence for that specific project.

03

Platform Access & Use

DKS Global Corporation grants you a limited, revocable, non-exclusive, non-transferable license to access our public web portals for informational and inquiry purposes. You agree not to:

  • Engage in automated data harvesting, scraping, crawling, or systematic extraction of site content or contact directories without express written approval.
  • Probe, scan, or test the vulnerability of our servers, hosting infrastructure, APIs, or networks.
  • Submit malicious payloads, worms, trojans, or unauthorized scripts through consultation request forms or chat portals.
04

Client Responsibilities & Cooperation

The timely and successful delivery of software engineering and consulting engagements relies upon mutual collaboration. Clients agree to:

  • Designated Point of Contact: Designate authorized stakeholders with decision-making power to review milestone deliverables and provide sign-offs.
  • Timely Provision of Materials: Provide required credentials, API documentation, brand collateral, third-party software licenses, and staging environments in accordance with project timelines.
  • Third-Party Licenses: Procure and maintain valid licenses for any proprietary third-party libraries, fonts, software APIs, or cloud platforms integrated into the solution at the Client's direction.
05

Intellectual Property & Deliverable Ownership

Intellectual Property (IP) rights in our technical relationships are partitioned with clarity:

  • Client Deliverable Ownership: Subject to full payment of all agreed invoice fees under the relevant SOW, DKS Global assigns to the Client all worldwide rights, title, and interest in and to the custom software code, UI designs, and deliverables developed specifically for the Client.
  • Background IP & Developer Tools: DKS Global retains all rights to its pre-existing frameworks, generic code libraries, development methodologies, algorithms, and modular architectural components ("Background IP"). When Background IP is embedded in deliverables, Client is granted a perpetual, royalty-free, non-exclusive license to use such Background IP solely as integrated within the deliverable.
  • Open-Source Components: Deliverables may incorporate third-party open-source components governed by recognized open-source licenses (MIT, Apache 2.0, BSD). These components remain subject to their respective licensing terms.
06

Confidentiality & Non-Disclosure

"Confidential Information" encompasses all non-public technical data, source code, system architectures, business models, financial projections, customer rosters, and strategic plans disclosed by one party ("Disclosing Party") to the other ("Receiving Party").

  • Each party agrees to safeguard the other's Confidential Information with the same degree of care it uses for its own confidential assets (at least reasonable care).
  • Confidential Information shall not be disclosed to any third party without prior written consent, except to employees, contractors, and legal advisors who have a need-to-know and are bound by confidentiality covenants no less restrictive than these Terms.
  • Confidentiality obligations survive termination or expiration of any project agreement for a period of three (3) years (and indefinitely with respect to trade secrets).
07

Fees & Commercial Payment Terms

Commercial terms, pricing schedules, and billing models are specified in the applicable Statement of Work (SOW):

  • Billing Models: Projects may be billed on a Fixed-Price Milestone basis, Time & Materials (T&M) hourly schedule, or Monthly Dedicated Squad Retainer model.
  • Payment Window: Unless otherwise agreed in writing, invoices are payable within fifteen (15) calendar days from the invoice issuance date.
  • Taxes: Fees are exclusive of applicable Goods and Services Tax (GST), value-added taxes, withholding taxes, or customs levies, which shall be borne by the Client as required by statutory law.
  • Late Payments: Overdue amounts may accrue interest at the rate of 1.5% per month (or the maximum permitted by applicable law) and may result in temporary suspension of active engineering sprints until settled.
08

Delivery, Sprint Acceptance & Change Requests

Upon delivery of a project milestone, sprint build, or software deliverable, the Client will have a User Acceptance Testing (UAT) review period (standardly ten (10) business days) to review the deliverable against agreed acceptance criteria.

If no written rejection with specific defect documentation is delivered within the UAT period, the milestone shall be deemed accepted. Any requests to alter project scope, user stories, or technical specifications following SOW sign-off require a formal written Change Request (CR) detailing timeline and budget adjustments.

09

Warranties & 30-Day Bug-Fix Period

DKS Global Corporation warrants that custom software deliverables will perform substantially in accordance with the technical specifications set forth in the executed SOW for a period of thirty (30) calendar days following final delivery and sign-off ("Warranty Period").

During this Warranty Period, DKS Global will rectify verified reproducible defects at no additional cost. This warranty does not apply to defects resulting from: (a) unauthorized third-party code modifications; (b) changes to third-party APIs or hosting environments outside DKS Global's control; or (c) improper client misuse. EXCEPT AS EXPRESSLY STATED, ALL SERVICES AND WEB ASSETS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

12

13

Indemnification

Client Indemnity: Client agrees to defend, indemnify, and hold harmless DKS Global Corporation from and against any third-party claims, liabilities, damages, and legal costs arising from: (a) materials, data, APIs, or specifications furnished by Client that infringe third-party intellectual property rights; or (b) Client's violation of applicable data privacy laws or these Terms.

DKS Global Indemnity: DKS Global agrees to defend and indemnify Client against third-party claims alleging that custom software code authorially created by DKS Global directly infringes registered patents or copyrights, provided Client gives prompt written notice and control of defense.

14

Term, Suspension & Termination

Either party may terminate an active project agreement or SOW:

  • For Cause: Immediately upon written notice if the other party commits a material breach and fails to cure such breach within thirty (30) days of receiving written notice.
  • For Convenience: Subject to thirty (30) days advance written notice, provided the Client settles payment for all completed milestone sprints and non-cancelable commitments incurred up to the effective termination date.
15

Governing Law & Dispute Resolution

These Terms and any dispute or controversy arising out of or related to our commercial engagements shall be governed by and construed in accordance with the substantive laws of India, without regard to conflicts of law principles.

The parties agree to first endeavor to resolve any dispute amicably through executive negotiations. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration in Bengaluru, Karnataka, India under the Arbitration and Conciliation Act, 1996 by a sole arbitrator mutually agreed upon. The courts in Bengaluru shall possess exclusive judicial jurisdiction over any matters seeking interim injunctive relief.
